These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and teum, LLC ("T|EUM," "we," "us," or "our"), governing your access to and use of the T|EUM platform at teum.io (the "Platform"). Please read these Terms carefully before using our services. By creating an account or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety.
1. Acceptance of Terms
By accessing, browsing, or using the T|EUM platform in any manner, you agree to comply with and be bound by these Terms of Service, our Privacy Policy, and our Refund Policy, all of which are incorporated herein by reference. If you do not agree to any provision of these Terms, you must immediately discontinue use of the Platform and delete your account if one has been created.
Your continued use of the Platform following the posting of any changes to these Terms constitutes your acceptance of those changes. We reserve the right to update or modify these Terms at any time, and will notify registered Users of material changes via email or platform notification at least fourteen (14) days prior to the effective date.
2. Definitions
For the purposes of these Terms, the following definitions apply:
- "Platform" refers to the T|EUM website (teum.io), including all pages, features, APIs, and services operated by teum, LLC.
- "User" or "Account Holder" refers to any individual or entity that creates an account on the Platform.
- "Seller" refers to a User who lists Digital Assets for sale on the Platform.
- "Buyer" or "Investor" refers to a User who purchases Digital Assets through the Platform.
- "Digital Asset" or "Product" refers to any software asset listed for sale, including but not limited to AI agents, chatbots, plugins, workflows, prompts, and toolkits.
- "Escrow" refers to the payment holding mechanism whereby Buyer funds are secured by the Platform until delivery is confirmed by the Buyer.
- "Merchant of Record" refers to Paddle.com Market Limited, which processes all payments, handles tax compliance, and manages billing on behalf of T|EUM.
- "Commission" refers to the percentage-based fee deducted from each sale as compensation for Platform services.
- "Content" refers to all text, images, code, data, and other materials uploaded, posted, or transmitted through the Platform.
3. Eligibility
To create an account and use the Platform, you must meet all of the following requirements:
- Be at least eighteen (18) years of age, or the age of legal majority in your jurisdiction, whichever is greater.
- Have the full legal capacity and authority to enter into binding contracts under applicable law.
- Not be located in, or a resident of, any country subject to comprehensive sanctions by the United Nations, European Union, or United States.
- Not have been previously banned, suspended, or removed from the Platform for violations of these Terms.
- Comply with all applicable local, national, and international laws and regulations.
If you are using the Platform on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and that the entity itself meets all eligibility requirements stated herein.
4. Account Registration and Security
When creating an account on the Platform, you agree to the following obligations:
- Provide accurate, current, and complete information during the registration process.
- Maintain and promptly update your account information to keep it accurate and complete at all times.
- Maintain the security and confidentiality of your login credentials, including passwords and authentication tokens.
- Accept full responsibility for all activities that occur under your account, whether or not authorized by you.
- Notify T|EUM immediately at support@teum.io upon becoming aware of any unauthorized use of your account or any other security breach.
You may register using email and password credentials or through supported third-party authentication providers (currently Google and GitHub). Each individual or entity may maintain only one (1) active account. Creating multiple accounts to circumvent Platform rules, restrictions, bans, or fee structures is strictly prohibited and may result in the permanent suspension of all associated accounts and forfeiture of any pending balances.
5. Marketplace and Product Listings
T|EUM operates as a curated marketplace for digital software assets. All Products listed on the Platform must satisfy the following requirements:
- Be original works created by the Seller, or be properly licensed or authorized for distribution and sale.
- Accurately and truthfully represent their functionality, features, compatibility requirements, and known limitations in the listing description.
- Comply with all applicable laws, regulations, and third-party terms of service.
- Not contain malware, viruses, trojan horses, ransomware, spyware, or any form of malicious code.
- Not infringe upon any third-party intellectual property rights, including copyrights, trademarks, patents, or trade secrets.
- Meet the minimum listing price of $10.00 USD.
All Product listings are subject to review and approval by T|EUM administrators before becoming publicly visible on the marketplace. We reserve the right to reject, suspend, modify, or remove any listing that violates these Terms, our content guidelines, or applicable law, at our sole and absolute discretion. T|EUM may utilize AI-assisted tools to generate multilingual product descriptions; however, Sellers are ultimately responsible for the accuracy of all listing content.
6. Intellectual Property Rights
Sellers retain all ownership rights and intellectual property in their Digital Assets. By listing a Product on the Platform, Sellers grant the following licenses:
- To T|EUM: A non-exclusive, worldwide, royalty-free license to display, reproduce, promote, cache, and distribute the Product listing and associated materials (including descriptions, screenshots, previews, and metadata) solely for the purpose of operating, marketing, and improving the marketplace.
- To Buyers: Upon confirmed purchase and full payment, a non-exclusive, non-transferable, perpetual license to use the Digital Asset as described in the Product listing, subject to any additional license terms specified by the Seller.
Buyers may not redistribute, resell, sublicense, reverse-engineer, or publicly share purchased Digital Assets unless explicitly authorized in writing by the Seller. The T|EUM name, logo, and all related trademarks, service marks, and trade dress are the exclusive property of teum, LLC and may not be used without prior written consent.
7. Seller Obligations
By listing Products for sale on the Platform, Sellers agree to:
- Ensure that all Product listings are accurate, complete, and not misleading in any respect.
- Deliver the purchased Digital Asset to the Buyer in a timely manner following a confirmed transaction.
- Provide reasonable post-sale support and respond to Buyer inquiries within a reasonable timeframe.
- Maintain and update Products as necessary to ensure continued functionality where applicable.
- Comply with all applicable tax laws and reporting requirements in their jurisdiction of residence.
- Not engage in any form of price manipulation, fake reviews, or artificial inflation of download counts.
- Not list Products that are freely available elsewhere without adding substantial additional value.
T|EUM reserves the right to de-list any Product and suspend Seller privileges for violations of these obligations.
8. Buyer Rights and Responsibilities
As a Buyer on the Platform, you are entitled to the following rights and subject to the following responsibilities:
- You have the right to receive the Digital Asset as described in the Product listing upon confirmed payment.
- You have the right to request a refund or open a dispute if the Product does not conform to its listing description, is non-functional, or was not delivered.
- You are responsible for reviewing the Product listing carefully before making a purchase, including system requirements and compatibility information.
- You are responsible for confirming receipt of the Product through the Platform's escrow system. Failure to confirm or dispute within thirty (30) days of purchase may result in automatic release of escrowed funds to the Seller.
- You agree to provide honest, constructive feedback when submitting reviews. False, defamatory, or retaliatory reviews are prohibited.
- You may not attempt to obtain Products through fraudulent means, including but not limited to chargebacks, stolen payment methods, or social engineering.
9. Payments and Escrow
All monetary transactions on the Platform are processed through Stripe. By making a purchase, you agree to Stripe's terms of service in addition to these Terms.
- Payment Methods: Stripe supports a variety of global payment methods including credit/debit cards (Visa, Mastercard, American Express), Apple Pay, Google Pay, and select local payment methods depending on your region.
- Currency: Prices are displayed in USD. Currency conversion may be applied by your financial institution.
- Escrow System: Upon successful payment, funds are held in escrow by the Platform. Funds are not released to the Seller until the Buyer explicitly confirms receipt and satisfaction with the Product, or until the thirty (30) day automatic confirmation period expires without a dispute being filed.
- Tax Handling: Sellers are responsible for their own tax obligations. T|EUM provides transaction records to assist with tax reporting.
- Failed Payments: If a payment fails or is declined, no escrow is created and no Product access is granted. You may retry payment or contact support for assistance.
10. Commission and Fees
T|EUM charges a commission on each completed sale to cover payment processing, platform maintenance, and operational costs:
- Commission Rate: 20% of the total sale price.
- Minimum Product Price: $10.00 USD. This minimum exists to ensure viable transaction economics after payment processing fees.
- Commission Deduction: Commission is automatically deducted from the sale price before the remaining amount is credited to the Seller's platform balance.
- Seller Payouts: Sellers may request withdrawal of their accumulated balance (minimum $25.00 USD) via Stripe Connect to their bank account. Stripe transfer fees are included in the platform commission.
- No Listing Fees: There are no fees for listing Products on the Platform. Commission is only charged upon successful sale completion.
11. Refunds and Disputes
T|EUM is committed to fair resolution of all transaction disputes between Buyers and Sellers:
- Buyers may request a refund by filing a dispute through the Platform's messaging system within thirty (30) days of the original purchase date.
- Refund requests are evaluated on a case-by-case basis considering factors such as Product conformity to listing description, functionality, delivery status, and communication between parties.
- T|EUM administrators will review disputes and may request additional evidence from both parties before rendering a decision. Our team aims to resolve all disputes within five (5) business days.
- If a refund is approved, the refund is processed to the original payment method via Stripe. Refund processing times vary by payment method and financial institution but typically take five to ten (5-10) business days.

- Abuse of the dispute system, including filing false or frivolous claims, may result in account suspension or termination.
12. Prohibited Content and Conduct
The following content and conduct are strictly prohibited on the Platform:
- Malware, viruses, ransomware, spyware, or any software designed to damage, disable, or gain unauthorized access to computer systems.
- Products that infringe upon third-party intellectual property rights, including unauthorized copies, cracks, keygens, or pirated software.
- Content that promotes or facilitates illegal activities, including but not limited to hacking tools designed for unauthorized access, fraud schemes, or money laundering.
- Hate speech, harassment, threats of violence, or content that discriminates against any individual or group based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin.
- Sexually explicit or pornographic content.
- Misleading, deceptive, or fraudulent Product listings, reviews, or communications.
- Spam, unsolicited advertising, or promotional content unrelated to legitimate Platform use.
- Attempting to circumvent Platform security measures, access controls, or fee structures.
- Impersonating T|EUM staff, other Users, or any third party.
- Any activity that violates applicable local, national, or international law or regulation.
Violation of these prohibitions may result in immediate content removal, account suspension, permanent ban, forfeiture of pending balances, and/or referral to law enforcement authorities where appropriate.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- The Platform and all Products listed thereon are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, statutory, or otherwise.
- T|EUM disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.
- T|EUM does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
- T|EUM is not responsible for the quality, safety, legality, or accuracy of any Product listed by Sellers, nor for the ability of Sellers to complete transactions.
- In no event shall T|EUM, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of the Platform.
- T|EUM's total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to T|EUM in the twelve (12) months preceding the claim, or (b) one hundred US dollars ($100.00).
14. Indemnification
You agree to indemnify, defend, and hold harmless T|EUM, teum, LLC, and their respective officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation.
- Your use of the Platform, including but not limited to any Content you upload, post, or transmit.
- Any Product you list for sale, including claims of intellectual property infringement, product liability, or misrepresentation.
- Your interaction with any other User of the Platform.
- Any dispute between you and a third party arising from your use of the Platform.
15. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in Seoul, Republic of Korea, and you hereby consent to the personal jurisdiction and venue of such courts.
Notwithstanding the foregoing, T|EUM retains the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our intellectual property rights or confidential information.
For Users located in the European Union, these Terms do not affect your rights under mandatory consumer protection laws of your country of residence.
16. Modifications to Terms
T|EUM reserves the right to modify, amend, or replace these Terms at any time at our sole discretion. When we make material changes, we will:
- Update the "Last Updated" date at the top of these Terms.
- Notify registered Users via email and/or a prominent notice on the Platform at least fourteen (14) days before the changes take effect.
- Provide a summary of the key changes for your convenience.
Your continued use of the Platform after the effective date of any modifications constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, you must stop using the Platform and may delete your account.
17. Severability and Entire Agreement
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, it shall be severed from these Terms. The invalidity of any single provision shall not affect the validity and enforceability of the remaining provisions.
These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and T|EUM regarding your use of the Platform and supersede all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral, between you and T|EUM.
